Terms & Conditions of Sale
Preamble
These Terms of Sale (the "Terms of Sale") govern the sale of products through the website www.lodaites.ae (the "Site"), operated by LODAITES PERFUMES & COSMETICS TRADING LLC, a limited liability company incorporated under the laws of the United Arab Emirates (the "Company").
The Terms of Sale apply in conjunction with the Website's Terms of Use, which govern access to and use of the Website.
By placing an order on the Site, the customer (the "Buyer") acknowledges having read and understood the Terms of Sale and agrees to be bound by these Terms of Sale.
The Terms of Sale are designed in compliance with UAE applicable law including notably Federal Law no 15 of 2020 on Consumer Protection and Cabinet Resolution No. 66 of 2023 (applicable "UAE Law").
Article 1 – Scope
These Terms apply exclusively to sales of cosmetic products (the "Products") contracted through the Site by consumers acting for personal, non-professional use.
The Company reserves the right to refuse or cancel any order that it reasonably suspects to have been placed for professional, resale or commercial purposes.
Article 2 – Products
The Products offered for sale are those displayed on the Site at the time of order confirmation, subject to availability.
Product descriptions, images and illustrations are provided for informational purposes only and are non-contractual.
Products are offered subject to availability. The Company reserves the right to limit quantities or discontinue products at any time.
Article 3 – Regulatory compliance
The Company represents that Products sold on the Website comply with applicable UAE laws and regulations in force at the time of sale, including product registration requirements where applicable.
Customers are responsible for ensuring that products are suitable for their personal use, skin type and health condition.
Article 4 – Prices
Prices are indicated in AED (United Arab Emirates Dirhams).
Prices are inclusive of applicable taxes including VAT, in accordance with UAE VAT legislation.
Shipping fees, if applicable, are indicated before order confirmation.
The Company reserves the right to modify prices at any time. Products are invoiced at the price in force at the time of order validation.
Article 5 – Orders & Payment
An order placed through the Website constitutes an offer to purchase the selected Products.
A binding contract of sale is formed only upon issuance of an order confirmation by the Company via email or electronic notification.
Payment is due in full at the time of order via the secure payment methods offered on the Site (credit card, digital wallet or other available methods).
The Company reserves the right to suspend or cancel any order in the event of payment refusal, suspected fraud, or abnormal order behavior.
Article 6 – Delivery
The Products are delivered to the address indicated by the Buyer at the time of order.
Delivery times are indicative and may vary depending on destination, customs clearance and external factors beyond the Company's control.
The Company shall not be liable for delivery delays caused by events beyond its reasonable control.
Article 7 – Use and safety disclaimer
Cosmetic products are intended for external use only, unless expressly stated otherwise.
Customers are responsible for reviewing ingredient lists and instructions before use.
The Company shall not be liable for adverse reactions resulting from misuse, allergies, failure to follow instructions, or use contrary to warnings provided on the product or Website.
Article 8 – Returns and replacement or refund
In accordance with applicable UAE Law, the Buyer is entitled to refund / replacement / or repair in situations where it is evidenced that the Product (i) defective, (ii) non-conforming / not as described / misleadingly advertised (ie. if the Product delivered is not the same as what was advertised or agreed).
The Buyer shall notify the Company within a reasonable time and at the latest within seven (7) calendar days if a Product is defective or materially non-conforming at the time of delivery.
The Buyer may request the return of unopened and unused Products within fourteen (14) calendar days from the date of receipt, by submitting a return request stating the reason for such request.
The Company shall review each return request in accordance with applicable UAE Law and shall notify the Buyer in writing of its decision. The Company may refuse a return request which it considers as not reasonably justified, provided that such refusal does not affect the Buyer's statutory rights in the event of defective or non-compliant Products.
For health and hygiene reasons, opened, used or unsealed products are not eligible for return or refund unless such Products are found to be defective or non-compliant with applicable UAE Law.
Unless otherwise agreed or required by applicable law, return shipping costs shall be borne by the Buyer.
Where a refund is approved, it shall be processed within a reasonable period following receipt and inspection of the returned Products, using the original payment method unless otherwise agreed.
Article 9 – Limitation of liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental or consequential damages arising from the use of the Products or the Site.
The Company's aggregate liability relating to any order shall not exceed the purchase price paid for the relevant product.
The Buyer remains solely responsible for determining whether the Products are suitable for their personal use.
Nothing in these Terms of Sale excludes liability that cannot be excluded under mandatory UAE Law provisions.
Article 10 – Warranty
The Company provides no commercial warranty beyond statutory guarantees applicable under applicable UAE Law.
Article 11 – Personal Data
In connection with the placement and fulfillment of orders, the Company may collect and process personal data relating to the Buyer, including identification details, contact information, delivery details, payment-related information (excluding full payment card details), and transaction history (the "Personal Data").
Personal Data is processed solely for legitimate and specified purposes, including:
(i) processing and fulfilling orders.
(ii) managing payments, deliveries, returns and refunds.
(iii) communicating with the Buyer in relation to purchases and customer service matters.
(iv) complying with applicable legal, regulatory and accounting obligations; and
(v) preventing fraud and ensuring the security of transactions.
Personal Data is processed in accordance with the Company's Privacy Policy, in compliance with applicable UAE data protection laws, including Federal Decree-Law No. 45 of 2021.
Personal Data may be disclosed, strictly on a need-to-know basis, to trusted third parties involved in the performance of the sale, such as payment service providers, logistics and delivery partners, IT service providers, professional advisers and regulatory authorities, where required by law.
Subject to applicable UAE Law, the Buyer may have the right to request access to correction or deletion of their Personal Data, or to object to or restrict certain processing activities, by submitting a written request to the Company.
Article 12 – Force Majeure
The Company shall not be held liable for failure or delay in performance resulting from event beyond its reasonable control, including governmental actions, supply chain disruptions, customs delays or logistic failures.
Article 13 – Personal use only
Products sold on the Website are intended for personal, non-commercial use only, unless expressly agreed otherwise in writing.
Article 14 – Intellectual Property
All content available on the Site, including but not limited to text, images, graphics, logos, trademarks and software, is the exclusive property of LODAITES PERFUMES & COSMETICS TRADING LLC or its licensors and is protected by applicable intellectual property laws. Any reproduction, representation, modification, distribution or use of such content, in whole or in part, without the prior written consent of LODAITES PERFUMES & COSMETICS TRADING LLC, is strictly prohibited.
Article 15 – Severability
If any provision of these Terms of Sale is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Article 17 – Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates.
The court of the Emirate of Dubai shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms of Sale or any sale conducted through the Website.
